Will my clients or staff find out?
No. Nothing goes out until we both sign closing documents and agree how and when to tell them. The NDA is signed before we look at a single client name.
How do you decide what my practice is worth?
Recurring revenue and client retention, client mix, real profitability, the team, and the quality of the books you hand over. We explain the logic behind the number — you won't get a multiple with no explanation.
What happens to my team?
Usually we take them on — they already know the clients. If someone doesn't want to move, we'll say so honestly in the term sheet rather than promise and change later.
Can I sell only part of my client base?
Yes. A portfolio deal can cover all your accounting clients or just one segment.
Can I sell only part of the company and keep running it?
Yes, as long as we end up with the majority — 51% or more. You keep a stake and stay in charge of day-to-day management, but control of the company passes to us. We don't buy minority stakes.
Do I have to stop working with these clients?
You stop delivering accounting for them — that's what you're selling. You can keep serving them for anything else you do (setup, PRO, legal), and earn commission on new clients you send us.
How long does it take?
Around 8 weeks for a full exit; less for a portfolio deal. Most of that is due diligence and paperwork, not waiting.
What if the numbers change during due diligence?
If something material turns up, we say it and explain the impact. What we don't do is agree a number and quietly reduce it at signing.
What if I'm not ready to sell yet?
Take the call anyway. You'll leave knowing roughly what your practice is worth, and we'll follow up when you want us to.
